Terms of Service

These Terms of Service ("Terms") govern your access to and use of BidPilot ("BidPilot", "we", "us", or "our"), including our website, web app, and Chrome extension (collectively, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and account
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for keeping your login credentials confidential and for all activity under your account. One person or legal entity may maintain only one account on the free plan.
2. The Service
BidPilot is an AI assistant that drafts proposals and scores jobs for freelancers, primarily on Upwork. Drafts are suggestions; you are solely responsible for reviewing, editing, and submitting any content. We do not auto-submit proposals on your behalf.
3. Acceptable use
- You will not use the Service to violate the terms of any third-party platform (including Upwork's Terms of Service).
- You will not reverse engineer, scrape, resell, or sublicense the Service.
- You will not submit unlawful, deceptive, harassing, or infringing content.
- You will not attempt to circumvent rate limits, anti-abuse, or billing systems.
- You will not use the Service to generate content that impersonates another real person.
4. Plans, billing, and renewals
The Service offers a Free plan and a paid Pro plan. Pro is billed monthly in advance via Stripe. Subscriptions automatically renew until cancelled. You may cancel anytime from your account settings; access remains active until the end of the current billing period.
5. Refunds
Refunds are governed by our Refund Policy.
6. Your content
You retain ownership of the content you submit (job descriptions, profile information, edits, wins). You grant us a limited license to process that content solely to provide and improve the Service for you. We do not sell your content. AI outputs generated for you are yours to use, subject to these Terms.
7. AI disclaimer
AI outputs may be inaccurate, biased, or unsuitable for a given context. You must review every draft before sending. We make no guarantee of proposal acceptance, response rate, earnings, or job outcomes.
8. Third-party services
The Service relies on third parties (e.g., Stripe for payments, Supabase for hosting and authentication, Cloudflare for security, OpenAI or other model providers). Their terms and privacy policies also apply to your use of those parts of the Service.
9. Suspension and termination
We may suspend or terminate your account if you breach these Terms, abuse the Service, or create risk for us or other users. You may delete your account at any time from settings.
10. Intellectual property
The Service, including its name, logo, software, and design, is owned by BidPilot and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of liability
To the maximum extent permitted by law, BidPilot will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD 50.
13. Indemnification
You will indemnify and hold harmless BidPilot from any claim arising out of your content, your use of the Service, or your violation of these Terms or applicable law.
14. Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes will be communicated by email or in-app notice. Continued use after a change constitutes acceptance.
15. Governing law
These Terms are governed by the laws of Brazil. Any dispute will be resolved in the courts of the city where BidPilot is headquartered, unless mandatory consumer-protection law provides otherwise.
